Entitylytics™ Assessment Purchase Terms & Conditions

Effective Date: June 12, 2026

These Assessment Purchase Terms & Conditions ("Agreement") govern the purchase of AI Visibility Assessments™, Executive Intelligence Reports™, and related services offered by Entitylytics LLC ("Entitylytics™," "Company," "we," "our," or "us").

By purchasing an assessment, the customer ("Client," "you," or "your") agrees to these terms.

1. Services

Entitylytics™ provides business intelligence and analytical assessment services designed to evaluate factors that may influence how artificial intelligence systems identify, understand, trust, and recommend businesses.

Services may include:

• Foundation Assessments™
• Complete AI Visibility Assessments™
• Executive Intelligence Reports™
• Resolution Analysis™
• Understanding Analysis™
• Trust Signal Analysis™
• Recommendation Readiness Analysis™
• Strategic Roadmaps™
• Enterprise Assessments™
• Agency or White-Label Services



Specific deliverables vary by assessment type.

2. Assessment Nature

Entitylytics™ assessments are informational and analytical in nature.

Assessments are intended to provide observations, findings, interpretations, recommendations, and strategic guidance based upon information available at the time of analysis.

Assessments do not constitute legal advice, financial advice, investment advice, business consulting guarantees, or professional services requiring licensure.

Clients remain solely responsible for all business decisions and actions taken based upon assessment findings.

3. No Guarantee of Results

Entitylytics™ does not guarantee:

• Search engine rankings
• Traffic increases
• Lead generation
• Revenue growth
• Customer acquisition
• Inclusion in AI-generated answers
• Recommendation by any AI platform
• Citation by any AI platform
• Visibility within any specific AI system
• Visibility within future AI systems

Artificial intelligence systems are dynamic and continuously evolving.

Outputs may vary based on:

• User prompts
• Geographic location
• Personalization
• Available training data
• Model updates
• Platform changes
• Third-party information sources
• Unknown factors outside Entitylytics™ control

Assessment findings represent analysis and opinion based on available evidence and should not be interpreted as guarantees of future outcomes.

4. AI Visibility Disclaimer

Entitylytics™ evaluates publicly observable signals and evidence that may influence how AI systems identify, understand, trust, and recommend businesses.

No assessment can guarantee:

• AI recommendations
• AI citations
• AI inclusion
• AI visibility
• Search engine rankings
• Future platform behavior

Entitylytics™ does not control any third-party AI platform, search engine, language model, recommendation engine, or technology provider.

5. Client Responsibilities

The Client agrees to provide accurate information necessary to complete the assessment.

The Client is responsible for:

• Providing correct business information
• Providing the correct website URL
• Providing accurate contact information
• Identifying relevant locations when applicable

Entitylytics™ is not responsible for conclusions affected by inaccurate or incomplete information supplied by the Client.

6. Assessment Delivery

Standard assessments are typically delivered within:

2–3 business days (Monday through Friday)

Delivery timelines are estimates only.

Delivery may require additional time due to:

• Website size
• Business complexity
• Multiple locations
• Enterprise engagements
• Additional research requirements
• Technical issues
• Circumstances beyond Entitylytics™ control

Entitylytics™ will make reasonable efforts to communicate significant delays when known.

7. Payment Terms

Payment is due in full before assessment work begins unless otherwise agreed in writing.

Entitylytics™ reserves the right to refuse, cancel, or decline service requests at its sole discretion.

Prices are subject to change without notice.

Previously purchased assessments are not affected by future pricing changes.

8. Refund Policy

All sales are final once work begins.

For purposes of this Agreement, work begins when Entitylytics™ initiates any of the following:

• Research activities
• Data collection
• Website review
• Evidence gathering
• Analytical review
• Assessment preparation
• Report generation
• Executive Intelligence development

No refunds will be provided after work has begun.

If Entitylytics™ determines that an assessment cannot reasonably be completed before work begins, Entitylytics™ may, at its sole discretion, provide a refund or decline the engagement.

9. Intellectual Property

All reports, assessments, findings, methodologies, frameworks, scoring systems, templates, deliverables, and related materials remain the intellectual property of Entitylytics LLC unless otherwise agreed in writing.

The Client receives a non-exclusive license to use purchased reports internally for business purposes.

Clients may not:

• Resell assessments
• Repackage assessments
• Claim ownership of Entitylytics™ methodologies
• Create derivative products based on Entitylytics™ intellectual property
• Distribute reports commercially without written permission

10. Confidentiality

Entitylytics™ will make reasonable efforts to maintain the confidentiality of information voluntarily provided by Clients. However, assessments may rely upon publicly available information and publicly observable signals.

Clients should not submit confidential, proprietary, regulated, or sensitive information unless specifically requested.

11. Limitation of Liability

To the fullest extent permitted by law, Entitylytics LLC shall not be liable for:

• Indirect damages
• Consequential damages
• Special damages
• Incidental damages
• Lost profits
• Lost revenue
• Business interruption
• Loss of opportunity
• Reputation impacts

Entitylytics™ total liability shall not exceed the amount paid by the Client for the specific assessment giving rise to the claim.

12. Indemnification

The Client agrees to indemnify and hold harmless Entitylytics LLC, its officers, members, contractors, affiliates, and representatives from any claims, damages, liabilities, expenses, or legal actions arising from:

• Use of assessment findings
• Business decisions made by the Client
• Client-provided information
• Violations of these terms

13. Governing Law

Dispute Resolution & Binding Arbitration

Any dispute, claim, controversy, or cause of action arising out of or relating to these Terms, the services provided by Entitylytics LLC, any assessment, report, purchase, transaction, website use, or relationship between the parties shall be resolved exclusively through binding arbitration.

Arbitration shall be administered by the American Arbitration Association ("AAA") in accordance with its applicable commercial arbitration rules then in effect.

The arbitration shall take place in Fulton County, Georgia.

The parties agree that arbitration shall be conducted by a single arbitrator.

The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of this agreement, including any claim that all or any portion of this agreement is void or voidable.

Judgment on any arbitration award may be entered in any court having jurisdiction.

Waiver Of Jury Trial

The parties knowingly and voluntarily waive any right to a trial by jury for any dispute arising from or relating to these Terms, the services provided by Entitylytics LLC, or any transaction between the parties.

Class Action Waiver

To the fullest extent permitted by law, all claims must be brought solely in an individual capacity.

Neither party shall participate in any class action, collective action, consolidated action, representative action, or private attorney general action arising from or relating to these Terms or the services provided by Entitylytics LLC.

Exceptions

Nothing in this section shall prevent Entitylytics LLC from seeking temporary, preliminary, or permanent injunctive relief in a court of competent jurisdiction to protect:

• Intellectual property
• Proprietary methodologies
• Trade secrets
• Confidential information
• Trademarks
• Copyrights

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, without regard to conflict of law principles.

14. Modifications

Entitylytics™ reserves the right to modify these terms at any time.

Updated versions will be posted on the Entitylytics™ website.

Continued use of services after changes are posted constitutes acceptance of the revised terms.
